1. ACCEPTANCE OF TERMS

These Terms of Use ("Terms") constitute a binding agreement between you (individually or on behalf of an entity) and Appinjoy ("Company", "we", "us", or "our"). By accessing https://appinjoy.com or any related digital platforms (collectively, the "Site"), you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not accept all provisions, you must immediately cease using the Site.

Supplemental terms posted on the Site are incorporated herein. We reserve the right to modify these Terms at our discretion. Changes become effective upon updating the "Last updated" date. Your continued use after such posting constitutes acceptance of revised Terms.

The Site is not intended for distribution in jurisdictions where prohibited by law. Access from restricted locations is at your own initiative, and you are solely responsible for local law compliance.

The Site does not comply with industry-specific regulations (HIPAA, FISMA, etc.). Use is prohibited if your activities would subject us to such regulations or violate GLBA.

5. USER CONTENT

For any content you submit ("Contributions"), you warrant:

You hold necessary rights/licenses for distribution
Content does not infringe third-party rights
You have obtained required consents for personal data
Content is non-misleading, non-commercial, and lawful
Content contains no illegal, discriminatory, or harmful material

6. CONTENT LICENSE

By posting Contributions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, distribute, and publicly display such content for any purpose. You retain ownership but waive moral rights. We may moderate or remove content without notice.

7. REVIEW GUIDELINES

Reviews must: (1) Reflect firsthand experience; (2) Avoid offensive/discriminatory language; (3) Contain no illegal references; (4) Not originate from competitors. We retain discretion to publish, reject, or remove reviews without liability.

8. SUBMISSIONS

Any unsolicited ideas or feedback ("Submissions") become our exclusive property without compensation or acknowledgment. You waive all claims regarding such Submissions.

9. THIRD-PARTY RESOURCES

We do not endorse or control third-party websites/content accessible via the Site. Access is at your own risk. Third-party transactions are exclusively between you and the provider.

10. ADVERTISING

Advertisers assume full responsibility for content legality and rights clearance. We provide platform space only.

11. SITE MANAGEMENT RIGHTS

We reserve the right to: (1) Monitor violations; (2) Take legal action; (3) Restrict/disable content; (4) Remove burdensome material; (5) Protect Site functionality.

12. PRIVACY

Our Privacy Policy (https://appinjoy.com/privacy) governs data practices. By using the Site, you consent to data processing in the United States regardless of your location.

13. COPYRIGHT PROTECTION

Submit infringement notices to our designated contact. Misrepresentations may result in liability for damages.

14. TERMINATION

We may suspend/terminate access immediately for Terms violations. Terminated users may not create new accounts. Legal action may accompany termination.

15. MODIFICATIONS

We reserve rights to modify, suspend, or discontinue the Site without liability. Availability is not guaranteed.

16. GOVERNING LAW

These Terms are governed by Hong Kong law. Exclusive jurisdiction resides with Hong Kong courts.

17. DISPUTE RESOLUTION

Informal Negotiation: Parties must attempt good-faith resolution before arbitration (30-day minimum).

Arbitration: Unresolved disputes shall be settled by binding arbitration under ICAC Rules (Brussels). Hong Kong substantive law applies.

Exceptions: IP disputes, unauthorized use claims, and injunction requests may proceed directly to court.

18. CORRECTIONS

We reserve rights to correct Site errors without prior notice.

19. DISCLAIMER

THE SITE IS PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, AND NON-INFRINGEMENT. WE ASSUME NO LIABILITY FOR:

Content inaccuracies
Unauthorized data access
Service interruptions
Malware transmission
Third-party product/service issues

20. LIABILITY LIMITATION

OUR MAXIMUM LIABILITY SHALL NOT EXCEED THE LESSER OF: (A) AMOUNTS PAID BY YOU TO US IN THE PRIOR 12 MONTHS; OR (B) USD $61,000. THIS EXCLUDES LIABILITY WHERE LEGALLY UNENFORCEABLE.

21. INDEMNIFICATION

You agree to defend and indemnify us against claims arising from: (1) Your Contributions; (2) Terms violations; (3) Third-party rights infringement; (4) Harmful user interactions.

22. USER DATA

You are solely responsible for transmitted data. We perform backups but assume no liability for data loss/corruption.

23. ELECTRONIC TRANSACTIONS

You consent to electronic communications and records. E-signatures satisfy legal writing requirements.
